Mr. Woodworth represents broadcasters, financial institutions, and investors in complex regulatory, corporate, and transactional matters before the Federal Communications Commission (FCC).

He also advises clients on general corporate and transactional matters and has serves as special FCC counsel in bankruptcy proceedings. Prior to joining Edinger Associates, Mr. Woodworth was with Vinson & Elkins for three years, and with Wiley Rein for five years.

Representative Experience:

  • Counsel for Emmis Communications Corporation (NASDAQ: EMMS) in its acquisition of radio stations WBLS and WLIB, both licensed to New York, New York, for $131 million
  • Represents broadcasters and investors in purchase and sale of stations, including structuring transactions, compliance with the FCC’s ownership and foreign ownership rules, and filing assignment and transfer applications
  • Lead Special FCC counsel in bankruptcy proceeding, including reorganization of radio station licenses, workout of $65 million of debt, and sale of four major market television stations
  • Advises clients on complex communications technical matters, interference problems, engineering questions, compliance with FCC allotment rules and regulations, and international frequency coordination issues
  • Submits a wide variety of applications to the FCC on behalf of communications clients, including new facility authorizations, construction permits, modifications, special temporary authorizations, renewal, ownership, and other regulatory filings
  • Represents foreign entrants in purchase of broadcast stations interests in the United States, including advice on FCC’s foreign ownership rules
  • Serves as outside corporate and FCC counsel for mid-market radio and television broadcasters
  • Represents tower owners in negotiations of leases with major wireless carriers
  • FCC counsel to NCE entities for new facilities applications, and underwriting and sponsorship matters
